Pros:
You get the movie (along with The Matrix)

Cons:
You only get the movie, no bonus material.

I actually just figured this out reading about the re-release here on Epinions. The THX side of the Matrix/THX bundle only has 1 disc! With that 1 disc you get the Movie (with Lucas' effects added), the option to play it with commentary and the original trailer.
